Terms & Conditions
The terms that apply when a business purchases Hardex documentation packages or related services.
1. About these terms
These Terms & Conditions apply to purchases of Hardex Ltd documentation packages and related services through our website or by direct agreement. By placing an order on behalf of a business, you confirm that you have authority to bind that business to these terms.
2. Our services
Hardex provides professionally prepared business documentation systems, including Compliance, Quality and Health & Safety documents, together with optional consultancy services. Package contents are those described on the relevant product page at the time of purchase.
3. Orders and payment
Package prices are shown on the website and are payable as a one-off payment unless expressly stated otherwise. Payment is processed by our third-party payment provider. An order is accepted when payment has been successfully completed and Hardex confirms or begins processing the order.
Consultancy is arranged and invoiced separately unless otherwise agreed in writing.
4. Customer onboarding and information
You are responsible for providing accurate, complete and authorised information needed to personalise your documents. This may include company details, responsible-person details, logos and authorised signatures. Delays in providing information may delay delivery.
5. Signature authorisation
Where you provide a signature image, you confirm that you have authority to provide that signature and authorise Hardex Ltd to apply it to relevant documentation prepared as part of your purchased package. You remain responsible for ensuring that the named signatory has the authority required within your organisation.
6. Preparation and delivery
Hardex will prepare and deliver the purchased documentation using the information supplied by you. Delivery times may vary depending on package size, the information provided and any agreed amendments. Any specific delivery date agreed in writing will take precedence.
7. Customer review and implementation
Our documents are designed to provide a professional business framework, but they must be reviewed and implemented by your business. You are responsible for ensuring that documents accurately reflect your activities, risks, arrangements, workforce and contractual requirements before relying on them.
8. No guaranteed accreditation or approval
Hardex does not guarantee that purchasing or using documentation will result in Constructionline, SSIP, ISO, tender, client, insurer, regulator or other third-party approval. Requirements and assessment decisions are controlled by the relevant third party and may change.
9. Changes and bespoke requirements
Reasonable personalisation included within a package will be carried out as described on the website. Work outside the stated package scope, significant bespoke drafting, consultancy, repeated revisions or additional documentation may be quoted separately before work is undertaken.
10. Intellectual property and permitted use
Hardex retains ownership of its underlying document designs, wording, systems and intellectual property unless expressly agreed otherwise. Once paid for, the purchasing business receives a non-exclusive right to use the supplied documents internally for its own business operations. Documents must not be resold, sublicensed, redistributed as templates or supplied to another business for its use without written permission from Hardex Ltd.
11. Cancellations and refunds
Because Hardex packages involve preparation and personalisation for the purchasing business, you should contact us promptly if you wish to cancel. If work has not started, we will consider a cancellation or refund request. Once personalised work has begun or documents have been supplied, refunds may be reduced or unavailable to reflect work already carried out. Nothing in these terms limits any rights that cannot lawfully be excluded.
12. Liability
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation or for death or personal injury caused by negligence. Subject to that, Hardex is not responsible for indirect or consequential losses, loss of profit, loss of business or losses arising from a customer failing to review, adapt, implement or follow supplied documentation. Our total liability arising from a package or service will not exceed the amount paid to Hardex for the relevant package or service, to the extent permitted by law.
13. Annual review reminders
If you opt in to an annual review reminder, this is a reminder service only. It does not create a subscription, automatic renewal or authority for Hardex to take another payment.
14. Third-party services
Our website may use third-party services for payment processing, hosting and form transmission. Their availability and operation are outside Hardex's direct control. Links to third-party websites are provided for convenience and do not make Hardex responsible for their content.
15. Governing law
These terms and any dispute or claim arising from them are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction, subject to any mandatory legal rights that apply.
